These Terms of Service govern your access to and use of the website, APIs, software, platforms, and services provided by OrbitPay, operated by Techorbit Technology Private Limited. By accessing or using our services in any manner, you agree to be bound by these terms.
For the purpose of these Terms, “we”, “our”, and “us” refer to OrbitPay, and “you” or “user” refers to any individual, business entity, or organization accessing or using our services.
Once you register on our platform or access our services in any form, it will be considered that you have carefully read, understood, and agreed to all the Terms of Service along with the Privacy Policy available on our website. Your continued use of the platform signifies your unconditional acceptance of these terms, and a binding agreement is formed between you and OrbitPay. However, these Terms shall not override any separate written agreement that you may have entered into with us for specific services.
You are advised to read these Terms carefully before proceeding. If you do not agree with any part of these Terms, you should discontinue the use of our website and services immediately.
Your acceptance of these Terms may occur either by explicitly agreeing through the interface provided on the platform or simply by accessing or using our services. From the moment you use the services, you acknowledge that such usage constitutes your acceptance of these Terms.
A separate Privacy Policy is provided on the website, and it forms an integral part of these Terms.
Nature of Services and Role of OrbitPay
OrbitPay operates as a Technology Service Provider (TSP) offering technology infrastructure, APIs, and software solutions that enable digital payment-related services. These may include integrations for services such as AEPS, Domestic Money Transfer, Mobile Recharge, FASTag Recharge, credit card bill payments, and BBPS-enabled bill payments, along with software solutions like white-label platforms, payment gateway software, and related systems.
It is clearly understood that OrbitPay does not hold any payment system license and does not operate as a bank, financial institution, or payment system operator. OrbitPay does not directly process, hold, or settle any funds.
All transactions initiated through OrbitPay’s platform are executed and processed by authorized banks and licensed payment service providers with whom OrbitPay has integration partnerships. OrbitPay’s role is limited to providing technical connectivity, system infrastructure, and platform support.
Provision of Services
OrbitPay continuously works towards improving its services and may modify, upgrade, suspend, or discontinue any part of the services at its sole discretion without prior notice. Such changes may be made to enhance performance, security, or user experience.
We reserve the right to restrict access to certain features, suspend accounts, or discontinue services temporarily or permanently if required for operational, technical, or business reasons.
Users may choose to stop using the services at any time. However, OrbitPay is not obligated to provide prior notice for discontinuation of services or features.
Fees and Payments
Certain services offered on the OrbitPay platform may be subject to applicable fees, commissions, or charges as communicated from time to time. Users agree to pay all applicable charges associated with the use of such services.
OrbitPay reserves the right to modify pricing, fees, or charges at its discretion. Any such changes will be reflected on the platform or communicated through appropriate channels.
All financial transactions, including settlements and refunds, are processed through partner banks and payment service providers. OrbitPay is not responsible for delays or failures in such processes.
Eligibility
By using OrbitPay services, you represent that you are legally capable of entering into a binding agreement under applicable laws of India. If you are using the services on behalf of a business or entity, you confirm that you are authorized to bind such entity to these Terms.
Users must be at least 18 years of age or otherwise legally permitted to enter into contractual agreements.
User Account and Responsibilities
To access certain services, users may be required to create an account and provide accurate and complete information. You agree that all information submitted during registration or thereafter is true and updated.
OrbitPay reserves the right to suspend or terminate accounts if any information provided is found to be incorrect, misleading, or incomplete.
Users are responsible for maintaining the confidentiality of their account credentials, including passwords. Any activity carried out through your account will be considered your responsibility. In case of any unauthorized use, you must inform us immediately.
Users may update or request deletion of their account information; however, certain records may be retained for operational or compliance purposes.
Acceptable Use of Services
You agree to use OrbitPay services only for lawful purposes and in accordance with these Terms. You shall not misuse the platform in any way that may harm the system, other users, or third parties.
Any attempt to gain unauthorized access, disrupt services, introduce harmful code, or misuse APIs and software is strictly prohibited.
You also agree not to copy, reproduce, resell, or exploit any part of the services without prior written permission from OrbitPay.
Third-Party Services and Integrations
OrbitPay integrates with banks, payment gateways, and other licensed financial service providers. By using our platform, you acknowledge that such third-party services are involved in processing transactions.
OrbitPay is not responsible for delays, failures, or issues arising from third-party systems, as these are outside our direct control.
Users may also be subject to additional terms and policies of such third-party providers.
Data, Content, and Intellectual Property
All content, software, technology, and materials available on the OrbitPay platform are owned by or licensed to Techorbit Technology Private Limited.
Users agree not to use any trademarks, logos, branding, or proprietary materials without prior written consent.
Any data or content submitted by users remains their responsibility. By using the platform, you grant OrbitPay a limited right to use such data for the purpose of providing services.
Service Reliability and Disclaimer
OrbitPay strives to provide reliable and uninterrupted services; however, we do not guarantee that the platform will always be available without interruptions, errors, or delays.
Services are provided on an “as is” and “as available” basis. OrbitPay does not make any warranties regarding the performance, accuracy, or reliability of services.
Users acknowledge that any reliance on the services is at their own risk.
OrbitPay does not guarantee uninterrupted or error-free access to its services at all times, and services may be affected by technical issues, maintenance activities, or third-party system dependencies.
Limitation of Liability
OrbitPay shall not be held responsible for any direct or indirect losses, damages, or disruptions arising from the use or inability to use the services, including but not limited to technical failures, third-party issues, or user errors.
We are also not liable for any financial losses arising from transactions processed through partner banks or payment providers.
Indemnification
You agree to indemnify and hold harmless OrbitPay, its directors, employees, and partners from any claims, losses, or liabilities arising out of your use of the services, violation of these Terms, or breach of applicable laws.
Confidentiality
Users may have access to certain confidential information related to OrbitPay’s systems, technology, or operations. You agree not to disclose or misuse such information without prior written consent.
This obligation will continue even after termination of your use of the services.
Termination
OrbitPay reserves the right to suspend or terminate access to the services at any time if a user is found to be in violation of these Terms or if required for security or operational reasons.
Users may also discontinue use of the services at their own discretion.
Changes to Terms
OrbitPay may update or modify these Terms at any time without prior notice. Updated Terms will be effective immediately upon being published on the website.
Continued use of the services after such changes will be considered as acceptance of the revised Terms.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising shall be subject to the jurisdiction of courts located in Delhi.
